Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Auditbase API and related services ("Service") provided by Auditbase, operated by Renesis Tech ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating a project, generating an API key, or making any API call to Auditbase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not use the Service.
2. Service Description
Auditbase provides a REST API that enables developers to log AI agent actions with SHA-256 cryptographic hashes, creating tamper-proof audit trails. The Service allows you to:
- Submit structured log entries (agent name, action type, actor, and arbitrary payload data)
- Receive cryptographic hash receipts for each log entry
- Query and retrieve stored log entries via the API
- Delete project data programmatically
Access to the Service is provided via API keys tied to project UUIDs. There is no separate user authentication system.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Include illegal content in log payloads, including but not limited to content that violates any applicable law, regulation, or third-party rights.
- Include personally identifiable information (PII) of third parties in log payloads without having obtained the necessary legal basis and, where required, explicit consent from those individuals.
- Attempt to circumvent, disable, or interfere with rate limits, security features, or access controls of the Service.
- Use the Service to store data unrelated to audit logging (e.g., using Auditbase as a general-purpose database).
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
- Transmit malicious code, viruses, or any harmful data through the API.
4. API Key Security
You are solely responsible for maintaining the confidentiality and security of your API keys. You must:
- Store API keys securely and never expose them in client-side code, public repositories, or unsecured environments.
- Rotate API keys immediately if you suspect unauthorized access.
- Notify us promptly at legal@auditbase.dev if you become aware of any unauthorized use of your API key.
We are not liable for any loss or damage arising from your failure to secure your API keys. All API calls made with your key are attributed to your project, regardless of who made them.
5. Plans and Billing
5.1 Subscription Plans
Auditbase offers multiple subscription tiers (Free, Builder, Studio, and Scale), each with specified rate limits, log retention periods, and feature sets as described on our website.
5.2 Payment
Paid subscriptions are billed monthly through Stripe, Inc. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis. All fees are stated in US dollars unless otherwise specified.
5.3 Cancellation
You may cancel your subscription at any time. Upon cancellation, you retain access to the Service and your current plan features until the end of the current billing period. After the billing period ends, your project will revert to the Free plan and associated retention limits.
5.4 Refunds
No refunds are provided for the current billing period upon cancellation. Unused portions of a billing period are not prorated or credited.
5.5 Price Changes
We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle following the notice period.
6. Data Ownership and License
6.1 Your Data
You retain full ownership of all log data you submit to the Service ("Your Data"). Auditbase does not claim any ownership rights over Your Data.
6.2 Limited License
By using the Service, you grant Auditbase a limited, non-exclusive, worldwide license to store, process, hash, and serve Your Data solely for the purpose of providing and maintaining the Service. This license terminates when Your Data is deleted from our systems.
6.3 Data Deletion
You may delete all data associated with a project at any time using the API (DELETE /v1/project/{project_id}). Deletion is permanent and irreversible. Data is also automatically deleted upon expiration of your plan's retention period.
7. Service Availability
7.1 Free and Builder Plans
The Service is provided on a best-effort basis for Free and Builder plan subscribers. We do not guarantee any specific uptime, availability, or response time. We may perform maintenance or updates that temporarily affect availability.
7.2 Scale Plan
Scale plan subscribers are entitled to a Service Level Agreement (SLA) as described in the applicable Scale plan documentation. SLA terms, including uptime commitments and remedies, are provided separately upon subscription to the Scale plan.
7.3 No Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
8.1 Exclusion of Damages
To the maximum extent permitted by law, Auditbase and Renesis Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
8.2 Liability Cap
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Auditbase during the three (3) months immediately preceding the event giving rise to the claim.
8.3 Free Plan
If you are using the Free plan and have paid no fees, our maximum liability to you is zero (0) dollars.
9. Termination
9.1 Termination by You
You may stop using the Service and delete your project at any time.
9.2 Termination by Us
We may terminate or suspend your access to the Service:
- With 30 days' notice for violations of these Terms that are capable of being remedied.
- Immediately and without notice for severe violations, including but not limited to: use of the Service for illegal purposes, deliberate circumvention of security measures, or actions that pose a threat to the security or integrity of the Service or other users.
9.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete Your Data in accordance with our retention policies. Sections that by their nature should survive termination (including Limitation of Liability, Governing Law, and Data Ownership) shall survive.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or a prominent notice on our website. Your continued use of the Service after the effective date of the modified Terms constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Service before they take effect.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
13. Entire Agreement
These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and Auditbase with respect to the Service and supersede all prior agreements or communications.
